Terms & Conditions

These Terms and Conditions ("Terms") govern your access to and use of the X3WEB website at x3web.co.za and all services provided by X3WEB (Pty) Ltd ("X3WEB", "we", "us", "our"). By visiting the website, submitting an enquiry, signing a proposal, or engaging our services, you confirm that you have read, understood, and agree to be bound by these Terms.

If you do not agree to these Terms, please do not use our website or services.

1. Parties and Agreement

X3WEB (Pty) Ltd is a South African company providing digital marketing and web development services.

2. Services

X3WEB provides digital marketing and web services including, but not limited to:

  • Meta Ads management (Facebook & Instagram advertising)
  • Google Ads management (Search, Display, YouTube, Shopping)
  • Meta + Google Combo management packages
  • Growth System Retainers (full-service monthly marketing packages)
  • Website design and development (brochure and landing page sites)
  • E-commerce website development
  • Website hosting and maintenance
  • Content creation, copywriting, and creative production
  • Social media management and SEO consulting

The specific scope, deliverables, pricing, and timelines for each engagement are confirmed in a written proposal, invoice, or service agreement. In the event of any conflict between these Terms and a specific written service agreement, the service agreement shall prevail to the extent of the inconsistency.

3. Proposals, Quotes, and Onboarding

3.1 Proposals and Quotes

All proposals and quotes are valid for 14 days from the date of issue unless otherwise stated. X3WEB reserves the right to revise pricing after the validity period.

3.2 Acceptance

A proposal is accepted when the client signs the proposal, pays a deposit or first invoice, or provides written confirmation. Verbal acceptance does not constitute a binding agreement.

3.3 Onboarding Requirements

The client must provide all required access, assets, and information within the timeframe specified during onboarding. Required items typically include admin access to advertising accounts, website credentials, brand assets, and business information. Delays in providing required materials are the client's responsibility and do not entitle the client to a refund, discount, or extension of the contract term.

4. Minimum Contract Term

All recurring monthly services — including Growth System Retainers, Meta Ads management, Google Ads management, combo packages, website management, and hosting — are subject to a minimum 3-month commitment from the date of the first invoice.

  • All fees for the full 3-month minimum term are payable regardless of early cancellation requests
  • Cancellation requests submitted during the first 3 months take effect at the end of the 3-month minimum term
  • After the minimum term, the agreement continues on a month-to-month basis
  • Month-to-month continuation requires 30 days' written notice to cancel (see Cancellation Policy)

Once-off services (website design, e-commerce development, audits, strategy sessions, content production) are not subject to a minimum term but are non-refundable once work has commenced.

5. Payment Terms

5.1 Pricing and VAT

All prices quoted are in South African Rand (ZAR) and exclude VAT unless expressly stated otherwise. X3WEB is VAT registered. VAT will be added to all invoices at the applicable rate.

5.2 Invoice Payment

Invoices are payable within 7 days of issue unless a different payment term is agreed in writing. Monthly management fees are invoiced in advance at the start of each billing period.

5.3 Deposits

Where a deposit is required (typically for website design, e-commerce, or once-off projects), work will not commence until the deposit is received and cleared. Deposits are non-refundable once paid.

5.4 Ad Spend

Ad spend paid directly to Meta, Google, or other advertising platforms is separate from X3WEB management fees and is not included in X3WEB's fees unless explicitly stated in the proposal.

5.5 Payment Methods

X3WEB accepts EFT/bank transfer. Payment details are provided on each invoice. X3WEB does not accept cash payments.

6. Late Payment and Non-Payment

If an invoice is not paid by the due date, X3WEB reserves the right to:

  • Suspend or pause all active services (including ad campaigns, website hosting, and maintenance) without notice
  • Charge interest on overdue amounts at 2% per month (compounded monthly) from the due date
  • Withhold delivery of any outstanding work, reports, or deliverables until payment is received
  • Recover all reasonable collection costs, including legal fees, from the client
  • Terminate the service agreement after 14 days of non-payment

Suspension of services due to non-payment does not entitle the client to a refund or credit for the suspended period.

7. Money-Back Guarantee

X3WEB offers a conditional money-back guarantee on the first month's management fee only for the following packages:

  • Meta Ads — Business Standard and Business Professional packages
  • Google Ads — Business Standard and Business Professional packages
  • Meta + Google Combo — Standard and Professional packages

Guarantee conditions

  • The guarantee applies to the management fee only — ad spend is never refundable by X3WEB
  • The client must have provided all required access, assets, and approvals within the agreed onboarding timeframe
  • Campaigns must have run for the full first month with the minimum required ad spend
  • The refund request must be submitted within 7 days of the end of the first billing month
  • The guarantee does not apply if the client caused delays in onboarding or campaign setup
  • The guarantee does not apply to Growth System Retainers, website design, e-commerce, or any other services

8. Client Responsibilities

8.1 Access and Cooperation

The client is responsible for providing timely access to all accounts, platforms, assets, and information required by X3WEB. Delays caused by the client do not entitle the client to a refund, discount, or extension of the contract term.

8.2 Content and Legal Compliance

The client is responsible for ensuring that all content, materials, products, and services provided to X3WEB comply with applicable laws, regulations, and the policies of relevant advertising platforms. X3WEB is not liable for any content or claims provided by the client.

8.3 Account Security

The client is responsible for maintaining the security of their own accounts and credentials. X3WEB will not be held liable for any loss resulting from the client's failure to maintain account security.

8.4 Feedback and Approvals

The client must provide feedback, approvals, and sign-offs within the timeframes specified by X3WEB. Delays in approval may affect timelines and do not entitle the client to a refund or credit.

9. Intellectual Property

9.1 Client Ownership of Deliverables

Upon receipt of full payment, the client owns the final deliverables specifically created for them (e.g., website files, ad creatives, copy). Ownership does not transfer until all outstanding amounts are paid in full.

9.2 X3WEB Retained Rights

X3WEB retains ownership of all pre-existing intellectual property, tools, frameworks, methodologies, templates, and know-how. X3WEB retains the right to display work in its portfolio and marketing materials unless the client requests otherwise in writing before project commencement.

9.3 Third-Party Licences

Where third-party assets (fonts, stock images, plugins, themes, software licences) are used in deliverables, the client is responsible for maintaining and renewing those licences after project handover.

9.4 Client-Provided Content

The client warrants that all content, images, logos, and materials provided to X3WEB are owned by the client or that the client has the right to use them, and that their use does not infringe any third-party rights. The client indemnifies X3WEB against any claims arising from client-provided content.

10. Confidentiality

Both parties agree to keep confidential any non-public business, financial, technical, or operational information shared during the course of the engagement. Each party agrees to use Confidential Information solely for the purpose of the engagement, not disclose it to third parties without prior written consent, and apply reasonable safeguards to protect it.

Confidentiality obligations do not apply to information that is publicly available, was already known to the receiving party, is independently developed, or is required to be disclosed by law. Obligations remain in effect during the engagement and for three (3) years after its conclusion.

11. No Guaranteed Results

X3WEB does not guarantee any specific outcome, result, or performance from any service, including leads, sales, ROAS, cost per lead, conversion rates, search rankings, organic traffic, social media performance, or any other metric. Results depend on many factors outside X3WEB's control, including market conditions, competition, platform algorithm changes, client's product/service quality, pricing, and audience behaviour.

X3WEB will apply professional skill and reasonable effort to achieve the best possible outcomes.

12. Limitation of Liability

To the maximum extent permitted by applicable law:

  • X3WEB's total liability for any claim is limited to the total fees paid by the client for the specific service giving rise to the claim in the three (3) months preceding the claim
  • X3WEB is not liable for any indirect, consequential, incidental, special, or punitive damages, including loss of profits, revenue, data, business opportunity, or goodwill
  • X3WEB is not liable for losses arising from platform policy changes, account suspensions, algorithm updates, or actions taken by third-party platforms
  • X3WEB is not liable for losses arising from the client's failure to provide required access, assets, or approvals on time

Nothing in these Terms limits liability for fraud, gross negligence, or any liability that cannot be excluded under applicable law.

13. Indemnification

The client agrees to indemnify, defend, and hold harmless X3WEB and its directors, employees, contractors, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from: (a) the client's breach of these Terms; (b) the client's use of the Services; (c) content, materials, or information provided by the client; (d) the client's violation of any applicable law or third-party rights; or (e) any dispute between the client and a third party.

14. Website Use

14.1 Permitted Use

You may use the X3WEB website for lawful purposes only. You agree not to use the website in any way that violates applicable laws, infringes any third-party rights, or interferes with the operation of the website.

14.2 Prohibited Conduct

  • Attempting to gain unauthorised access to any part of the website or its systems
  • Transmitting any malware, viruses, or harmful code
  • Scraping, harvesting, or collecting data from the website without written permission
  • Using automated tools to access or interact with the website without permission
  • Submitting false, misleading, or fraudulent information through any form

14.3 Website Availability

X3WEB does not guarantee that the website will be available at all times. The website may be temporarily unavailable due to maintenance, updates, or technical issues. X3WEB is not liable for any loss resulting from website downtime.

15. Third-Party Platforms and Services

X3WEB's services involve the use of third-party platforms including Meta (Facebook and Instagram), Google, and other tools. The client acknowledges that:

  • X3WEB has no control over the policies, decisions, or actions of third-party platforms
  • Third-party platforms may suspend, restrict, or terminate accounts at their discretion
  • Platform policy changes, algorithm updates, or account actions are outside X3WEB's control and do not constitute a breach of these Terms
  • The client is responsible for complying with the terms of service of all platforms used in connection with X3WEB's services

Our website may contain links to third-party websites. X3WEB is not responsible for the content, privacy practices, or availability of those sites.

16. Suspension and Termination

16.1 By the Client

The client may cancel recurring services in accordance with the Cancellation Policy. Once-off services may not be cancelled once work has commenced.

16.2 By X3WEB

X3WEB may suspend or terminate services immediately, without notice, if the client fails to pay any invoice by the due date, breaches any provision of these Terms or any applicable policy, engages in abusive or threatening conduct toward X3WEB staff, or if the client's use of the Services involves illegal activity or prohibited content.

16.3 Effect of Termination

Upon termination, all outstanding fees become immediately due and payable. X3WEB will provide a reasonable transition period to hand over access and assets, provided all outstanding amounts are paid in full.

17. Amendments to These Terms

X3WEB may update these Terms at any time by posting the revised version on this page and updating the "Last updated" date. For existing clients, material changes will be communicated by email with at least 14 days' notice. Continued use of our Services after the effective date of any changes constitutes acceptance of the updated Terms.

18. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of South Africa. Any dispute arising from or related to these Terms or the Services shall be subject to the exclusive jurisdiction of the South African courts.

Before initiating legal proceedings, both parties agree to attempt to resolve any dispute through good-faith negotiation for a period of at least 30 days. If the dispute cannot be resolved through negotiation, either party may refer the matter to mediation before resorting to litigation.

The Consumer Protection Act 68 of 2008 and the Electronic Communications and Transactions Act 25 of 2002 apply where applicable.
